1. DEFINITIONS

For the purposes of these Terms and Conditions ("Terms"), the following definitions shall apply:

• "Taplet", "Company", "we", "our", or "us" refers to Taplet Platform Limited, a private limited liability company incorporated under the laws of the Republic of Cyprus.

• "Platform" refers to the digital infrastructure, including the website, applications, interfaces, and tools provided by Taplet.

• "User", "you", or "your" refers to any person or entity that accesses, browses, or uses the Platform in any capacity.

• "Service(s)" means all features, content, applications, and services offered by Taplet, including access provisioning, API usage, data hosting, and associated support.

• "Content" includes but is not limited to text, data, files, media, graphics, user input, generated output, scripts, and code.

• "KYC" refers to Know Your Customer verification protocols conducted via third-party provider Sumsub.

• "AML" refers to Anti-Money Laundering compliance procedures implemented by Taplet and enforced during onboarding and use.

2. ACCEPTANCE OF TERMS

By accessing or using any part of the Platform, including through automated or programmatic means (such as API), you confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional guidelines, legal notices, or conditions issued by Taplet.

Access to the Platform is contingent on your full compliance with all applicable laws, regulations, and these Terms. If you do not agree with any part of the Terms, you must immediately discontinue use of the Platform.

3. ELIGIBILITY AND ACCESS

3.1 Age Restrictions

You must be at least 12 years of age to use the Platform. Use of the Platform by anyone under the age of 12 is strictly prohibited.

3.2 Business Entities

If you are accessing the Platform on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms and that such entity accepts these Terms.

3.3 Global Availability

While Taplet is incorporated in Cyprus, our services are made available globally. However, we reserve the right to restrict access to the Platform in specific jurisdictions where such access would breach local laws or expose Taplet to legal risk.

4. REGISTRATION, VERIFICATION, AND ACCOUNT SECURITY

4.1 Account Creation

Access to Taplet’s Platform requires registration. You agree to provide accurate, complete, and up-to-date information and to update it promptly as needed.

4.2 KYC/AML Compliance

As part of our regulatory obligations and risk management protocols:

• All users must undergo identity verification using Sumsub.

• We reserve the right to request additional documentation or information.

• Failure to complete or pass KYC/AML checks may result in denial or suspension of access.

4.3 Security Obligations

You are solely responsible for maintaining the confidentiality of your credentials. Any activity under your account will be considered authorized unless reported otherwise in writing.

5. LICENSE TO USE THE PLATFORM

5.1 Grant of Limited License

Subject to these Terms, Taplet grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Platform for its intended purposes.

5.2 Restrictions

You may not:

• Reverse-engineer, disassemble, or decompile any part of the Platform;

• Use the Platform to violate any laws or regulations;

• Exploit the Platform for unauthorized commercial purposes;

• Interfere with the integrity or performance of the Platform or data contained therein.

6. USER CONTENT AND ACCEPTABLE USE

6.1 Ownership

You retain ownership of all content you upload, submit, or generate using the Platform ("User Content"). However, by doing so, you grant Taplet a perpetual, irrevocable, worldwide, royalty-free license to host, store, and process such content for the purposes of delivering services.

6.2 Responsibility

You are solely responsible for your User Content and any consequences arising from its publication or distribution via the Platform.

6.3 Prohibited Content

You shall not upload, share, or distribute content that:

• Is unlawful, defamatory, obscene, harassing, or hateful;

• Infringes on third-party intellectual property rights;

• Violates data protection or privacy laws;

• Contains copyrighted material without appropriate authorization.

7. SUBSCRIPTIONS, FEES, AND PAYMENT TERMS

7.1 Pricing Structure

Access to Taplet may be provided via tiered subscription plans customized for each customer.

• All pricing is provided on a case-by-case basis.

• Subscription terms and fees are subject to written agreement.

7.2 Refund Policy

All purchases are non-refundable. Users are encouraged to evaluate the service during any offered trial or demonstration before committing.

7.3 Taxes

All fees are exclusive of applicable taxes, duties, and levies unless otherwise stated.

8. API ACCESS

8.1 Scope

Taplet may provide access to its services via a proprietary API. Use of the API constitutes acceptance of these Terms and any supplemental API-specific agreement.

8.2 Usage Limits

Taplet reserves the right to impose API usage limits and suspend keys in the event of:

• Excessive traffic;

• Security threats;

• Abuse of service.

8.3 Commercial Restrictions

You may not resell, sublicense, or publicly expose API access without prior written consent.

9. INTELLECTUAL PROPERTY

All rights, titles, and interest in the Platform, including but not limited to software code, interface design, trademarks, service marks, and proprietary logic, are and shall remain the exclusive property of Taplet or its licensors.

You shall not:

• Remove or obscure any proprietary notices;

• Claim ownership of any part of the Platform or its derivative works;

• Develop competing services based on Taplet’s intellectual property.

10. DATA PROTECTION AND PRIVACY

10.1 Personal Data

Taplet collects and processes the following data:

• Full name, email, phone number, residential/business address;

• IP address, browser details, device information;

• Payment details, including transaction history;

• KYC/AML documentation.

10.2 Privacy Policy

For full details, refer to our Privacy Policy, which forms an integral part of these Terms.

10.3 Security Measures

We employ robust physical, technical, and administrative safeguards to protect user data from unauthorized access, loss, or misuse.

11. THIRD-PARTY SERVICES

Taplet integrates with third-party services, including payment gateways and KYC/AML providers.

• These services are governed by their own terms and policies.

• Taplet disclaims liability for issues arising from such third-party services beyond its control.

You are encouraged to review the privacy and service terms of any third-party provider you interact with.

12. SERVICE AVAILABILITY AND SUPPORT

12.1 Availability

While we strive for uninterrupted service, we do not guarantee 100% uptime. Scheduled maintenance or unforeseen outages may occur.

12.2 Support

Support is available via email or contact form only. Response time is within two (2) business days. No real-time support or phone lines are currently offered.

13. TERMINATION AND SUSPENSION

We reserve the right to:

• Terminate or suspend any account for violations of these Terms or applicable laws;

• Delete content or revoke access with or without prior notice;

• Retain user data for compliance and audit purposes post-termination.

You may request account deletion by contacting support. Final decisions rest with Taplet.

14. DISCLAIMER OF WARRANTIES

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Merchantability;

• Fitness for a particular purpose;

• Non-infringement;

• Service availability or reliability.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Taplet shall not be liable for:

• Indirect, incidental, special, punitive, or consequential damages;

• Loss of profits, revenues, or business opportunities;

• Loss of content or data;

• Unauthorized access or use of your data.

Our total liability shall not exceed the total amount paid by you to Taplet in the twelve (12) months preceding the claim.

16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Taplet, its directors, officers, employees, and affiliates from and against all liabilities, damages, claims, and expenses (including legal fees) arising from:

• Your use or misuse of the Platform;

• Violation of these Terms;

• Infringement of third-party rights or applicable laws.

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus.

• Jurisdiction: Courts of Nicosia, Cyprus.

• Dispute Resolution: Parties agree to attempt resolution through good-faith negotiation before initiating legal proceedings.

18. CHANGES TO THESE TERMS

Taplet reserves the right to revise these Terms at any time. Users will be notified of material changes through email or platform notification.

Continued use of the Platform after the effective date of changes constitutes acceptance.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and Taplet regarding the use of the Platform and supersede any prior agreements.
